Agreement

By enrolling as an Affiliate in the Hello Shop Affiliate Program (“Program”), you acknowledge and agree to abide by the following terms and conditions (“Terms of Service”).

Please note that Hello Shop reserves the right to amend and revise the Terms of Service at any time and without prior notice. The Terms of Service will apply to any new features, tools, or resources added to the Program. Your continued use of the Program after any changes to the Terms of Service signifies your acceptance of such modifications.

It is essential to comply with the terms outlined below. Any violation of these terms will result in the termination of your account and forfeiture of any outstanding affiliate commission payments earned during the violation. You assume all risks and liabilities associated with your participation in the Affiliate Program.

Account Terms

To participate in this Program, you must meet the following Account Terms:

      • You must be at least 18 years old.
      • You must be a human and may not register accounts using bots or automated methods.
      • To complete the signup process, you must provide accurate and complete information, including your full legal name and valid email address.
      • Each login is for one person’s use only, and sharing logins between multiple people is not allowed.
      • You are responsible for maintaining the security of your account and password. If you fail to comply with this security obligation, Hello Shop cannot be held liable for any resulting loss or damage.
      • You are accountable for all activity and content posted under your account.
      • Each person or legal entity is limited to one account only.
      • Use of the Affiliate Program for illegal or unauthorised purposes is strictly prohibited. Any violation of the law in your jurisdiction, including copyright laws, is not allowed and your account will be deactivated.
      • You may not use the Affiliate Program to earn commissions on your own Hello Shop account.

Links/graphics on your site, in your emails, or other communications

Once you sign up for the Hello Shop Affiliate Program, you will be assigned a unique Affiliate Code. This code can be used in combination with the links, banners, or other graphics provided by Hello Shop on your site, in emails, or in other forms of communication. Hello Shop will provide you with guidelines, link styles, and graphical artwork for use in linking to our products. We may change the design of the artwork at any time without notice, but we will notify you if we make any changes to the dimensions of the images.

In order to accurately track, report, and accrue referral fees, we will give you special link formats to use for all links between your site and Hello Shop. You must make sure that each of the links between your site and Hello Shop uses the special link formats provided by us. These links are known as “Special Links.” You will earn referral fees only with respect to sales on Hello Shop products made directly through the use of Special Links. We will not be responsible for any reduction in referral fees resulting from the failure of you or someone you referred to use Special Links or the incorrect entry of your Affiliate Code.

It is essential that your Affiliate links point to the specific product page being promoted. This will help to maximise earnings for both you and Hello Shop. We will provide notice of any changes made to our graphics, but we will not modify their dimensions without prior notification.

Referral fees/commissions and payment

      • Referral fees are earned when a customer completes an order for a product during the session they clicked-through a Special Link from your site, email, or other communication to Hello Shop.
      • Commissions are only paid for business generated through properly formatted and automatically tracked special links.
      • Hello Shop has the right to disqualify commissions earned through fraudulent, illegal, or overly aggressive sales or marketing methods.
      • Commission is calculated based on the product price and does not include shipping cost and tax.
      • Affiliate payout begins once you have earned more than AU$100 in affiliate income, and an international bank transfer fee of AU$15 will be deducted from each payout applied.

* Affiliate Link Cookie Expiration: 60 days. Any purchases completed within this 60 days by your affiliate link, your affiliate account will receive the commissions accordingly.

Identifying yourself as a Hello Shop Affiliate

    1. You are not allowed to issue any press release related to this Agreement or your participation in the Program.
    2. Misrepresenting or embellishing the relationship between you and Hello Shop is prohibited, including falsely claiming to develop our products or being part of Hello Shop.
    3. You are not permitted to suggest or imply any affiliation or relationship between you or any other entity and Hello Shop unless explicitly allowed in this Agreement.
    4. Purchasing products through your affiliate links for your personal use is not allowed and may result in the withholding of referral fees or termination of this Agreement.
    5. Violating any of these terms may lead to termination from the Program.

Earn Cash back from Hello Shop

Hello Shop offers a cash back program where you can earn 1-2% of every purchase as cash back (Store Credit) when you buy an eligible product from helloshop.com.au. You can use this Store Credit for your next purchase, providing you with real rewards for every order.

Customer definition

Customers who make purchases through this Program will be considered our customers, and as such, our policies and procedures regarding customer orders, service, and product sales will apply to them. We reserve the right to modify our policies and procedures as we see fit, including pricing policies for products sold through this Program. Prices and product availability may fluctuate over time, and as such, we recommend that you do not display product prices on your site since price changes could impact products listed there. While we will make every effort to provide accurate information, we cannot guarantee the availability or pricing of any specific product.

Your responsibilities

You are solely responsible for your site’s development, operation, and maintenance, including all content and materials that appear on it. This includes:

      • Ensuring that your site operates properly and that all related equipment is functioning correctly.
      • Ensuring that the display of Special Links on your site complies with any third-party agreements that may apply to your site.
      • Ensuring that all materials posted on your site, including Product-related materials and any information associated with Special Links, are accurate, truthful, and appropriate.
      • Ensuring that all materials posted on your site do not infringe upon the rights of any third party, including copyrights, trademarks, privacy, or other personal or proprietary rights.
      • Ensuring that all materials posted on your site are not libellous or illegal.
      • Ensuring that your site has an adequate privacy policy in place that accurately discloses how you collect, use, store, and disclose data collected from visitors, including any information that may be collected by third-party advertisers.

Compliance with Laws

As a participant in our Program, we want to ensure that you are aware of your responsibilities regarding compliance with laws and regulations. It is your responsibility to ensure that your participation in the Program complies with all laws, ordinances, rules, regulations, orders, licenses, permits, judgments, decisions, or other requirements of any governmental authority that has jurisdiction over you. These laws and regulations may be in effect now or may come into effect while you are a participant in the Program.

To ensure compliance, we require that you agree to comply with all applicable laws that govern marketing email, including the CAN-SPAM Act of 2003 and all other anti-spam laws. These laws govern how you can use email marketing to promote products and services, including the proper use of opt-in forms, opt-out mechanisms, and the handling of unsubscribe requests. Failure to comply with these laws may result in fines, penalties, or even legal action against you or Hello Shop.

It’s important to note that laws and regulations can vary by jurisdiction, and it’s your responsibility to ensure compliance with all applicable laws in your region. This includes any laws governing advertising, consumer protection, data privacy, and intellectual property.

By participating in the Program, you acknowledge that you understand your obligations and responsibilities regarding compliance with laws and regulations. You agree to take full responsibility for ensuring that your participation in the Program complies with all applicable laws and regulations. We reserve the right to terminate your participation in the Program if we determine, in our sole discretion, that you have violated any laws or regulations or engaged in any conduct that may expose Hello Shop to legal liability.

Term of the Agreement and Program

The term of this Agreement shall commence upon the acceptance of your Program application by Hello Shop and shall remain in effect until terminated by either party. You acknowledge and agree that either you or we may terminate this Agreement at any time, with or without cause, by providing written notice of termination to the other party.

In the event that this Agreement is terminated for any reason, you agree to immediately discontinue the use of, and remove from your site, all links to https://helloshopliquor.com.au, as well as any and all of our trademarks, logos, and any other materials that were provided by or on behalf of us to you pursuant hereto or in connection with the Program.

Please note that Hello Shop reserves the right to end the Program at any time, in our sole discretion. If the Program is terminated, we will not pay any outstanding earnings.

Termination

Hello Shop reserves the right to suspend or terminate your account and deny any and all present or future usage of the Program or any other Hello Shop services, at its sole discretion, for any reason, at any time. The termination of the service will result in the deactivation or deletion of your account, as well as your access to it, and the loss of all potential or to-be-paid commissions in your account if they were obtained through illegal, fraudulent, or overly aggressive, questionable sales or marketing tactics. Additionally, Hello Shop reserves the right to decline service to anyone, at any time, and for any reason.

Relationship of Parties

As independent contractors, you and we acknowledge that this Agreement does not create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between us. Therefore, you do not have any authority to make or accept any offers or representations on our behalf. It is important that you do not make any statements, whether on your site or elsewhere, that could reasonably contradict the contents of this section.

Limitations of Liability

We shall not be held accountable for any indirect, special, or consequential damages, including but not limited to any loss of revenue, profits, or data, that may arise in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Moreover, our total liability with respect to this Agreement and the Program shall not exceed the total referral fees paid or payable to you under this Agreement.

Disclaimers

Our Program and any products sold through it are provided on an “as is” and “as available” basis. We do not make any express or implied warranties or representations, including but not limited to warranties of fitness for a particular purpose, merchantability, non-infringement, or any implied warranties arising out of a course of performance, dealing, or trade usage.

Furthermore, we cannot guarantee that the operation of Hello Shop will be uninterrupted or error-free, and we will not be liable for any consequences arising from interruptions or errors.

Miscellaneous

This Agreement shall be governed by the laws of Australia, without regard to its conflict of law provisions. You may not assign this Agreement, whether by operation of law or otherwise, without our prior written consent. However, this Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and permitted assigns. Our failure to enforce any provision of this Agreement shall not be construed as a waiver of such provision or of our right to enforce such provision.

Furthermore, Hello Shop’s failure to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. These Terms of Service constitute the entire agreement between you and Hello Shop and govern your use of the Service, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and Hello Shop (including, but not limited to, any prior versions of the Terms of Service).
